UK News Group Terms & Conditions of Purchase

UK News Group is a Registered Company in England and Wales Number 12281187. By entering into an “Agreement” with UK News Group, you agree to the Standard Terms and Conditions, as set out below.

Definitions

“Purchaser” means the company or individual that enters into the Agreement, either as named on the Invoice or in writing to confirm the Agreement, as agreed by both parties.

“Seller” refers to UK News Group.

“Goods” means the items agreed, which could include editorial coverage, social media content and/or advertising.

“Order” means the Purchasers official instructions to the Seller, in writing, to supply the Goods on these conditions. Where the instructions conflict with the terms of these Conditions, those instructions shall prevail.

“Agreement” refers to the Order and the Sellers acceptance thereof.

 

Offer and Acceptance

As part of these Terms & Conditions, the Purchaser is agreeing to the Goods outlined by UK News Group (the Seller), for the outlined fee, which forms what is known as the Order.

This Order must be confirmed in writing between UK News Group and the Purchaser. If agreed verbally, a follow up email confirming the Agreed Order will be sent by UK News Group to the Purchaser.

Any errors to the Order must be identified by the Purchaser or UK News Group and communicated to the other party within 24 hours, otherwise the Order will be jointly agreed as accurate and will proceed as Agreed.

Main Conditions

In all cases, these Terms & Conditions will be the primary Agreement between UK News Group and the Purchaser, adapted only to adhere to Common Law in England, United Kingdom. Any additional Terms & Conditions presented by either UK News Group or the Purchases will be agreed in advance and outlined as part of the Order. Otherwise, they will not apply and these Terms & Conditions will remain Agreed.

UK News Group reserves the right to change and alter these Terms & Conditions at any time, but any changes that affect the Purchaser will be communicated directly and in advance.

The Goods that form part of the Order will be outlined and identified by UK News Group as part of negotiation, with associated costs communicated to the Purchaser. The final Order, including costs, will be Agreed in writing between UK News Group and the Purchaser.

The Goods supplied will be in accordance with the description and specification, as known at the time by UK News Group, and will be presented and delivered to the highest possible standard. The Purchaser will not be liable for any excess costs or charges associated with improving or maintaining the quality. For example, but not limited to, website design and management, servers, staffing, or other overheads.

Should any of the Goods be faulty or misrepresented, the Purchaser must make UK News Group aware as soon as reasonably possible (usually within 48 hours) for a resolution to be sought.

Payment & Delivery of the Order

Payment Terms relating to the Order will be Agreed, in writing, between UK News Group and the Purchaser at the point of purchase.

As standard, UK News Group’s payment terms are seven (7) days from the date of invoice, unless otherwise agreed as part of the order between UK News Group and the Purchaser.

The items falling under the Order shall not be required by UK News Group until full payment is received, unless otherwise Agreed between UK News Group and the Purchaser.

Unless otherwise Agreed, in writing, between UK News Group and the Purchaser, time shall be of the essence and the delivery dates or dates specified in an Order shall be condition of the Contract.

The price stated in the Order is inclusive of all costs, unless otherwise Agreed in writing in advance by UK News Group to the Purchaser. Any associated costs, including copywriting and design, associated with the Order remain the responsibility of the Purchaser.

Where Goods are subject to VAT, or any other taxes that are legally demanded, the Agreed fee with exclude these costs and they will be due in addition to the Agreed fee.

Indemnity

As part of the Agreement, and these subsequent Terms & Conditions, the Purchaser remains legally responsible for the content provided to UK News Group. Should any copyright breaches be identified, this remains sole responsibility of the Purchaser to handle, including any associated costs. The Purchaser agrees to inform UK News Group, in writing, of any such issues or breaches at any time including after the Agreement.

UK News Group remains in no way responsible for the mis-selling or misrepresentation of any Goods or Services presented by the Purchaser. The Order will be made in good faith and UK News Group will, as well as reasonably researched, assume that all Goods and Services presented either as part of the Order or any that fall under the Purchaser’s daily activities are accurate and adhere to Common Law.

However, UK News Group will observe any Common Law in England, United Kingdom that requires its cooperation.

Confidentiality and Copyright

UK News Group observes that any content (copy, images, video or similar) remain the property of the Purchaser, throughout and beyond the Agreement.

UK News Group agrees not to disclose any information to third parties regarding the Purchaser and/or the Order, unless otherwise Agreed in writing with the Purchaser.

Cancellation and Force Majeure

The Purchaser has the legal right to a ‘cooling off’ period of fourteen (14) days, which will be from the date of Agreement in writing between UK News Group and the Purchaser.

By entering into an Agreement with UK News Group, you are Agreeing to pay the full sum for the full Agreed order, and no refunds will be due or given if the Purchaser wishes to cancel in advance of the agreed end date as part of the Order. With the exception of the 14 day ‘cooling off’ period.

The Purchaser shall have the right to defer the date of delivery of cancel any Order in the event of the Purchaser’s business being interrupted by conditions beyond its control, known as ‘Force Majeure’. This includes acts of God, wars, insurrections, Terrorism (or the threat of it), civil commotion, industrial disputes, strikes, accidents, floods, fire, issues with importing and exporting, and any other disasters out of the Purchaser’s control.

Legal Obligations

UK News Group and the Purchaser Agree, at all times, to act in accordance with English law regarding the Goods, Order and Agreement.

Where the Purchaser is based beyond England, local laws must be communicated to UK News Group in advance and Agreed as part of the Agreement.
